Role overview
Our client is a major international law firm growing its capital markets practice in Saudi Arabia. With a strong pipeline of IPOs, follow-on offerings and dual listings in the Kingdom, the firm is looking to hire a senior ECM lawyer to join its Riyadh office. The successful candidate will advise issuers, underwriters and financial institutions and run transactions with a high degree of independence, while helping to grow the practice. This is an excellent opportunity for a senior associate or counsel to take a visible role on major Saudi deals.
Key responsibilities
- Advise on IPOs, secondary offerings, rights issues and other equity transactions on Tadawul
- Act for issuers, underwriters and sponsors from structuring through to listing and post-completion
- Draft and negotiate prospectuses, subscription agreements and underwriting agreements
- Advise on CMA requirements, the Saudi Companies Law and corporate governance
- Coordinate with local counsel, financial advisers and regulators
- Support equity-linked and hybrid transactions as they arise
- Contribute to client development across the firm's Middle East practice
Candidate profile
- Around 8 to 12 years' PQE, at senior associate or counsel level
- ECM background from a recognised international law firm, including IPOs and public offerings
- Saudi or GCC capital markets experience valued, though strong candidates from other jurisdictions willing to relocate will be considered
- Familiarity with CMA regulations and Tadawul listing rules beneficial but not essential
- Arabic an advantage
